Agreement between Real Estate Agent and REMERGE Transaction Coordinators

SECTION 1: TERMS OF REMERGE TRANSACTION COORDINATORS SERVICE The Real Estate Agent becomes the Contracting Agent when (s)he registers a New Listing, Listing/Sold or New Sale real estate transaction with REMERGE Transaction Coordinators (REMERGE) on line at www.remerge.com, by phone, by fax, by e-mail, by postal service or by any other means. The REMERGE guarantee for accurate contractual timeline follow up and a D.R.E. compliant file at the close of escrow is in effect if and only if the Contracting Agent performs his obligations in the transaction as described in Section 1A.

A. CONTRACTING AGENT IS OBLIGATED AND AGREES TO PERFORM THE FOLLOWING TASKS ON EVERY TRANSACTION REGISTERED WITH REMERGE: 1. Obtain Buyer, Seller and Agents' signatures on all mandatory contract documents as well as respective office addenda to the contracts on date that the contracts were negotiated. 2. Register a listing or sale transaction with complete information with REMERGE on www.remerge.com within 2 days of the date that the listing or sale contract was signed. 3. Be aware of and supply any mandatory city tranfer documents, local and/or board disclosures to the REMERGE Coordinators. 4. Fax fully executed listing and/or sale contract documents and respective addenda to the REMERGE Coordinator directly following the registering the listing or sale transaction with REMERGE. 5. Alert the REMERGE Coordinator regarding any escrow amendments that occur during the transaction. 6. On the Buyer's side, arrange the home inspection with the Buyer. 7. Follow up with the Lender, the Appraiser and the loan process. 8. Negotiate and fully execute the final the Request for Repairs with the Buyer and Seller. 9. Provide documents and signatures to documents as requested by the REMERGE Coordinator during the course of the transaction. 10. Immediately notify REMERGE Coordinator in the event of a cancellation of listing or sale.

B. THE CONTRACTING AGENT AUTHORIZES AND AGREES THAT REMERGE IS RESPONSIBLE TO: 1.Contact and maintain communications with all parties to the transaction, including but not limited to: the Cooperating Agent, the Escrow holder, the Inspectors, the Buyer and/or the Seller. 2. Request, receive and retain copies of all documents related to the transaction, included but not limited to: listing agreement, purchase agreement, respective addenda, escrow instructions, preliminary title, mandatory reports, inspections, verifications, executed disclosures and general communications. 3.Order the home warranty policy, mandatory reports and termite inspections, as appropriate. 4. Request, receive and obtain signatures from Buyer, Seller and Agents on all real estate disclosure documents and appropriate waivers. 5. Alert Agent of contractual contingency deadlines and follow Agent's instructions regarding follow up action. 6. Invoice to and collect payment from the escrow holder for transaction coordination service and for any reports or additional services ordered on behalf of the transaction. 7. Assemble a complete hard copy D.R.E. and C.A.R. compliant transaction or cancelled file. 8. Electronically archive the complete or cancelled transaction file. 9. Deliver the original hard copy or CD to the Broker and duplicate files as ordered on receipt of payment of the REMERGE service fee and any other expenses incurred on behalf of the transaction. 10. Maintain web site file on-line in CLOSED status after the close of escrow.

C. THE CONTRACTING AGENT ACKNOWLEDGES AND AGREES THAT REMERGE IS NOT RESPONSIBLE TO: 1. Supply Agents with listing and/or purchase contracts and/or any supporting documents and/or addenda related to any contract documents. 2. Be aware of or supply any mandatory city transfer documents, local and/or board disclosures 3. Generate or obtain signatures on listing or purchase contracts and/or any supporting documents and/or addenda related to contract documents. 4. Instruct the escrow holder to draw up amendments. 5. Handle the Buyer's deposit check or relay entries to the Broker's trust log book. 6. Follow up with the Lender, Appraiser or the loan process. 7. Arrange for or follow-up on the Seller's required termite work or home repairs. 8. Negotiate, write or rewrite Buyer's Request for Repairs or Seller's responses. 9. Handle keys to the property or arrange for keys delivery to the Buyer or Buyer's Agent. 10. Manage the Buyer-side only in For Sale By Owner transactions. SECTION II: REMERGE TRANSACTION COORDINATORS SERVICE FEES REMERGE service fee begins on the date that the transaction is registered in OPEN status on www.remerge.com. Payment of the service fee is not contingent on a successful close of escrow. The REMERGE fee is invoiced to Escrow and is due and payable within 3 days of the close of escrow or 3 days of the notification of cancellation or within 90 days of the date that the transaction is registered in OPEN status www.remerge.com. The transaction file will be delivered to the Broker only after full payment is received by REMERGE.

A. REMERGE FEES FOR BASIC SERVICE 1. Buyer-side or Seller-side: $400 2. Buyer-side and Seller-side: $800 3. Transaction Entry Fee: $25 4. For Sale By Owner, Seller side: $700 5. For Sale By Owner, Buyer-side: $700. 6. File Review: $250 7. Cancellation of Sale is pro-rated from OPEN date through date of notification of cancellation: day 1-7: $250 & day 8-21: $350 & day 22+: $400 8. Cancellation of Listing: $0. 9. The Agent shall be given 30 days e-mail notification for any fee change.

B. THE CONTRACTING AGENT IS RESPSONSIBLE FOR ALL REMERGE SERVICE FEES, and any additional expenses incurred on behalf of the transaction including but not limited to overnight deliveries and notary service. Any contract or agreement between the Agent and a third party for payment of the REMERGE service is strictly between the Agent and the third party. REMERGE will invoice escrow to the party per Contracting Agent's instructions. However, if the third party refuses payment of the REMERGE invoice, the Contracting Agent will be invoiced and is responsible for payment. REMERGE shall not attempt or collude with any party to collect payment from a third party outside of escrow. The Contracting Agent is hereby notified that REMERGE will submit delinquent accounts to a Collection Agency if the REMERGE invoice is unpaid after 30 days following the initial invoice to the Contracting Agent. There is a 1.8% per month late fee charge after the initial invoice is sent to the Contracting Agent. Settlement of the account will be in effect only when REMERGE receives payment in the form of a cashier's check or money order. REMERGE will dispose of unpaid transaction files after 60 days following the initial invoice to the Contracting Agent. After 60 days and only after the payment of the account has been settled, the contracting Agent can order a reprint of the archived files for a recall fee.

C. REMERGE MAINTAINS THE RIGHT TO REFUSE SERVICE TO ANY PERSON at will. SECTION III: REMERGE DISCLAIMER The REMERGE Transaction Coordinators guarantee to meet contractual timelines is not in effect if the Contracting Agent fails to perform his/her obligations as described in Section 1A. The REMERGE guarantee to deliver a D.R.E. compliant file at the close of escrow is not in effect if the Contracting Agent demands delivery of a paid file that s/he is aware is incomplete and/or not D.R.E. compliant. SECTION IV: REMERGE HOLD HARMLESS When the Contracting Agent registers a transaction with REMERGE, s/he agrees to indemnify, defend with counsel acceptable to REMERGE, hold harmless REMERGE and its employees against and in respect to any and all claims, demands, losses, fines, damages, expenses, obligations, liabilities, recoveries and deficiencies including interest, penalties and reasonable attorney fees that REMERGE shall incur or suffer that may arise, resulting from or relating to any breach of or failure of Agent to perform any of its obligations in this Agreement or any other party that forwards information on the REMERGE web site. The Agent has reviewed and accepts all the above stated terms for each and every transaction registered with REMERGE Transaction Coordinators.
